metal.club
Seller Agreement
1. Who this agreement is between
This agreement is between you — the artist or label selling on metal.club — and Bastian Ventures Limited (company no. 17418518, 71-75 Shelton Street, Covent Garden, London WC2H 9JQ), which operates metal.club. It applies from the moment you accept it during Stripe onboarding, and it sits alongside the Terms of Service, which also apply to you.
If you are a label, this agreement covers sales of every release you sell, including releases by artists you manage. You are responsible for having the rights to sell them.
2. You are the seller
Every sale on metal.club is a contract between you and the fan. You are the seller of record. metal.club takes payment as your agent, deducts its fee, and passes the rest to you. We are not the seller, and we never take ownership of your records, your stock, or your rights.
Who gets paid for a release never changes after it goes on sale.
3. Our fee
Our fee is 8% of the item price, after any discount you have applied, plus VAT on that fee where applicable. It is never charged on shipping, tracked-shipping upgrades, or optional fan support — those pass to you in full.
VAT on our fee is determined by where YOU are established, not by where your fan is. If you are established in the United Kingdom we charge UK VAT at 20% on the 8%, and both are deducted from your settlement. If you are established outside the United Kingdom the supply of our services to you is outside the scope of UK VAT and the reverse charge applies: we charge the 8% only, and you account for any VAT due in your own jurisdiction. Your commission statement carries the reverse-charge wording and both parties’ VAT details.
VAT on our fee is never added to what the fan pays. It is deducted from your settlement, and your statement shows our fee and the VAT on it as separate lines.
Card processing fees are charged at cost by Stripe and deducted from your settlement. Any promotional or reduced rates we agree with you will be recorded in writing and shown on your dashboard.
Chargeback fees. When a buyer’s bank reverses a payment, the card scheme charges a fee to handle it. That fee is a cost of the sale, so it is yours, whatever the reason for the chargeback. We pass on the actual amount the scheme charges, no more, and set it off against your balance or a later payment. If the chargeback is decided in your favour and the scheme refunds the fee, we pass that back to you.
4. Getting paid
Payments settle in your currency to your Stripe Connect account. Your currency is fixed once your Stripe account is connected. Payout timing follows your Stripe settings. You are responsible for the accuracy of your Stripe account details and for any taxes on your income.
5. Your responsibilities
- Rights. You must hold the rights to everything you upload and sell — recordings, artwork, photographs, text. Uploading is your warranty that you do.
- Fulfilment. You pack and ship physical orders yourself, within the timeframes shown on your listings. Pre-orders ship from the release date you set.
- Accuracy. Your listings must be accurate: formats, editions, stock counts, ship dates. Fans buy what you describe.
- Refunds and problems. You are responsible for resolving problems with your orders — lost parcels, damaged goods, wrong items. Fan messages about orders come to your contact address; answer them.
6. Pre-orders
Fans pay in full at the time of the pre-order, and you are paid on your normal settlement terms. Taking a pre-order creates a binding obligation on you to deliver the record or refund the fan.
- If you cancel a pre-release, every pre-order is automatically refunded in full. Refunds are funded from your Stripe balance and, where that is insufficient, from your future settlements.
- If your release date moves more than 90 days past the date a fan ordered against, each affected fan is emailed a single refund offer. Their order stands unless they choose to take it. Nothing is cancelled automatically by a delay.
- If you fail to deliver and fail to refund, we may refund affected fans on your behalf. Every sum we pay out this way becomes an immediate debt from you to us, recoverable as set out in section 10.
Fans who bought a record while it was released keep access to it permanently, regardless of any later date change.
7. Free copies and download codes
Codes you issue (press copies, giveaways, codes included with physical products) grant the fan the same ownership and download rights as a purchase. You can cancel unredeemed codes at any time. Once a fan redeems a code, the grant is final — you cannot revoke it. Issue codes carefully.
8. Content and conduct
The Terms of Service, Copyright and Takedown Policy, AI-Generated Content Policy, and Acceptable Use Policy all apply to what you upload and how you behave on the platform. We can remove content or suspend selling for breaches, and we will tell you when we do and why.
9. Leaving
You can stop selling at any time. Existing obligations survive: orders already placed must be fulfilled or refunded, and fans keep the digital records they own. We can end this agreement with notice if you breach it; sales already made are unaffected.
10. If we have to put money right
If we refund fans, absorb chargebacks, or pay card-scheme fines or penalties because you did not deliver or otherwise breached this agreement, you indemnify us in full for those sums and for our reasonable costs of recovering them, including legal costs.
We may recover any such debt by deducting it from any balance or future settlement due to you on any of your sales on the platform, and we may suspend your payouts and your ability to sell while an unresolved delivery failure or dispute is outstanding.
11. Changes to this agreement
If we change this agreement, you will be asked to accept the new version before continuing to sell. Your acceptance of each version is recorded. Earlier sales remain governed by the version you accepted at the time.
12. The legal frame
This agreement is governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. Nothing in it limits liability that cannot be limited by law. Our liability to you is otherwise limited to the fees you have actually paid us in the twelve months before the claim.
